Platform Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement is between CognaSIM, Inc., and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.
If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form
Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
Cloud Service: The Cloud Service is a hybrid desktop/cloud engineering simulation platform combining traditional CAD/FEA automation tools with AI-powered assistant.
Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period
Use Limitations: Customer's use of the Cloud Service is subject to credit-based usage limits determined by Customer's subscription tier. Credits are consumed when using AI-powered features of the Cloud Service, with consumption based on the computational resources used per interaction. Each subscription tier provides a dened credit allocation that refreshes on a periodic basis. When Customer's available credits are exhausted, access to AI-powered features will be temporarily restricted until credits are refreshed. Provider reserves the right to modify credit allocations, refresh schedules, and tier denitions at any time upon reasonable notice to Customer. Current tier details and credit allocations are available within the Cloud Service.
Technical Support: Support is available through email at support@cognasim.com and through the in- app feedback button within the Cloud Service.
Key Terms
Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word "Customer" in the Agreement will mean that company.
Provider: CognaSIM, Inc.
Effective Date: The date Customer first accepts this Agreement. Governing Law: The laws of the State of Delaware.
Chosen Courts: The state or federal courts located in Delaware.
Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.
Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon a third party’s intellectual property or other proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim (1) that the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon a third party’s intellectual property or other proprietary rights; and (2) arising from or relating to Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).
General Cap Amount: The greater of USD $5000 or 1x the Fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.
Increased Claims:
Breach of Section 3 (Privacy & Security)
Breach of Section 10 (Condentiality) (however, excluding any data or security breaches)
An Indemnifying Party’s indemnification obligations
Increased Cap Amount: The greater of USD $25,000 or 5x the Fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.
Unlimited Claims: Claims resulting from fraud, gross negligence or willful misconduct

1. Agreement to Terms
By accessing or using the CognaSIM website or services, you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use our services.

You agree to use our platform in compliance with all applicable laws and regulations. Unauthorized use or access to our systems is strictly prohibited.
3. Intellectual Property
All content on this site—including but not limited to text, graphics, logos, and software—is the property of CognaSIM or its licensors and is protected by copyright and other intellectual property laws.
4. User Conduct
You must not misuse the services by knowingly introducing viruses, attempting unauthorized access, or using our platform for any unlawful or unethical purposes.
5. Disclaimers
Our services are provided "as is" without any warranties, express or implied. We do not guarantee that the service will be error-free or uninterrupted.
6. Limitation of Liability
CognaSIM shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the platform.
7. Governing Law
These terms are governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions.
8. Changes to Terms
We may revise these Terms of Use at any time. Continued use of our services after changes become effective constitutes acceptance of the revised terms.
